Cédric Buisine


With more than 20 years of experience, Cédric specializes in the fields of Financial Regulation, Alternative Investment Funds, Securitisation & Capital Markets, and Private Debt structures.

He advises Family Offices in Europe, Asset Managers, IFA’s, Real Estate Asset and Private Equity Managers, on the implementation of regulated pooling and investment vehicles subject to Luxembourg Law.

Cédric also helps investment companies and financial service providers obtain the correct regulated licenses and alignment with the evolution of European and Luxembourg regulation.

Cédric is an expert in regulatory matters regarding alternative investments and specializes in setting up private debt funds. He also structures sophisticated securitiszation operations and issues debt securities (including ESG Bonds), including listing on the Luxembourg capital markets for European institutional clients.

Cédric holds a Masters degree with distinction in Business Law from Paris XII University and a postgraduate degree in Information and Multimedia Technology Law from Paris II Panthéon-Assas University. He also has a diploma from Durham Law School (Ustinov College) where he obtained an LL.M in International Business Law.

  • Legal advice on the admission and post-listing obligations of issuers of debt securities (including ESG Bonds) to the Luxembourg Stock Exchange and in particular to the Euro MTF market (R&R Luxembourg Stock Exchange, Transparency obligations and prevention of market abuse)
  • Drafting of legal documentation in relation to the offer, subscription and admission of debt securities to the Luxembourg Stock Exchange
  • Legal assistance for the subscription and issuance of debt securities until the admission of the debt securities to the Luxembourg Stock Exchange
  • Coordination with the various parties involved in the listing of debt securities on the stock exchange, including the arranger, the bank and the paying agent, the common depositary….
  • Legal assistance and support to the issuer in monitoring legal/regulatory obligations during the issuance of debt securities
